1.We are a marketplace, not the seller

DealerExchange provides a wholesale trading venue for licensed motor dealers. Vehicles are owned, listed, described, photographed, and sold by the dealers themselves. We are not the seller, the owner, or the agent of either party to any trade. Every sale is a direct dealer-to-dealer transaction.

2.Listing information is dealer-supplied

All vehicle details shown on the Platform — including make, model, year of manufacture, build and compliance dates, badge and series, odometer reading, registration, body type, fuel, transmission, engine capacity, condition notes, and photographs — are provided by the seller. We do not independently verify, inspect, or value any vehicle before it is listed.

Photos are intended as a general representation only. Stock images, similar-vehicle images, and smart-glasses or video content may differ in detail (such as colour, trim, or specific options) from the actual vehicle. Buyers should rely on the written specifications and their own inspection rather than on imagery alone.

3.Buyer due diligence

Each buyer is a licensed motor dealer and is responsible for satisfying itself as to a vehicle's condition, history, and fitness for resale. Before bidding, making an offer, or confirming a fixed-price purchase, buyers should:

• review the full listing, including any notes, attachments and photos;
• arrange a physical inspection where they consider it necessary;
• conduct a PPSR (Personal Property Securities Register) check to identify finance, write-off, or stolen-vehicle status; and
• verify VIN, build and compliance dates, and odometer readings against the vehicle.

A successful bid, accepted offer, or confirmed purchase is a binding agreement. Buyers should not rely on the ability to withdraw if a later check reveals an issue that earlier inspection would have identified.

4.No warranty by us

To the maximum extent permitted by law, we make no representation or warranty (express or implied) as to:

• the accuracy or completeness of any listing or other content posted by a dealer;
• title to, condition of, or fitness for purpose of any vehicle listed;
• the conduct of any buyer or seller, including their ability or willingness to settle a trade; or
• uninterrupted availability of the Platform or freedom from defects, errors, or downtime.

Nothing in this Disclaimer excludes any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded. Our overall liability is limited as set out in our Terms of Service.

5.Wholesale, dealer-to-dealer only

The Platform is restricted to licensed motor dealers acting in the course of their business. It is not a retail channel and is not intended for, or made available to, consumers. Vehicles shown here are not offered to the public, and prices, terms, and disclosures reflect dealer-to-dealer trade practice rather than retail sale.

6.Reserve prices, valuations and market data

Where the Platform displays valuations, indicative prices, reserve estimates, or other market data, these are provided for general information only. They are not financial product advice, and they should not be relied on as a guarantee of resale value or future performance.

7.Moderation

We may, at our discretion, edit, suspend, or remove any listing or account that we reasonably believe to be inaccurate, misleading, or otherwise non-compliant with our Terms. Our moderation does not amount to verification of remaining listings and does not transfer responsibility for content from the seller to us.

8.Transport, trucking and logistics

Where the Platform lets a buyer record a transport or trucking booking — including selecting a carrier, entering a carrier's contact details, setting a collection date, or sending the carrier, seller, or buyer a notification — DealerExchange acts only as a convenience that passes on the details you supply. We are not the carrier, freight forwarder, or transport broker, and we do not arrange, perform, supervise, insure, or guarantee the collection, transport, storage, or delivery of any vehicle.

Any transport engagement is a direct arrangement between you and the carrier you choose. To the maximum extent permitted by law, we accept no responsibility or liability for the carrier's conduct or availability, the accuracy of carrier details you enter, collection or delivery timing, or any loss, damage, theft, delay, or cost arising in connection with transport. You are responsible for confirming the booking directly with the carrier, for the carrier's insurance and licensing, and for inspecting the vehicle on collection and delivery. Nothing in this clause excludes any consumer guarantee or right that cannot lawfully be excluded.
